Terms of Service

1. Acceptance of the Terms

Welcome to WikiWorks. These Terms of Service ("Terms") govern your access to and use of the software-as-a-service platforms, applications, Boomi integrations, and UKG implementation services (collectively, the "Service") provided by WikiWorks ("WikiWorks", "we", "us", or "our").

By registering for an account, executing an Order Form, or otherwise accessing the Service, you ("Customer", "you", or "your") agree to be bound by these Terms. If you are entering into this agreement on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

WikiWorks provides workforce intelligence and digital manpower management platforms. Our core solutions include:

  • VYN India: A platform built for India's contract labour landscape, featuring Aadhaar-led onboarding, statutory compliance tracking (PF, ESIC, CLRA), and vendor management with compliance-driven accountability.
  • VYN USA: A platform built for the deskless workforce in the United States, supporting Form I-9 compliant digital onboarding, crew scheduling, and accurate time capture.
  • VYN & Vinny AI Suite: Conversational data insights (VYN Insights) and AI-powered chat assistants (Vinny Chatbot) that transform operational support and workforce decision-making.
  • UKG Implementations and Boomi Integrations: Custom system implementation, configuration, and iPaaS data orchestration to connect disparate HR, payroll, and business systems.

3. User Accounts and Responsibilities

To access the Service, you must register for an administrative account. You agree to provide accurate, current, and complete registration information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify WikiWorks immediately of any unauthorized use of your account or security breach. We will not be liable for any loss or damage arising from your failure to comply with this security obligation.

4. Subscription Fees and Payment

The Service is billed on a subscription basis, as specified in your applicable Order Form. All fees are quoted in U.S. Dollars (USD) or Indian Rupees (INR), as agreed, and are non-refundable.

Customers agree to pay all charges in accordance with the billing terms in effect at the time the fee is due. Late payments will bear interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Taxes, including VAT, GST, or sales tax, are the responsibility of the Customer and will be added to invoices as applicable.

5. Data Ownership and Security

Customer retains all right, title, and interest in and to all data, information, or material uploaded or submitted to the Service ("Customer Data"). Customer grants WikiWorks a worldwide, non-exclusive, royalty-free license to host, copy, process, and transmit Customer Data solely to provide and maintain the Service.

WikiWorks maintains robust administrative, physical, and technical safeguards to protect the security, confidentiality, and integrity of Customer Data. These safeguards include encrypted data transmission, regular vulnerability assessments, and secure database configurations.

6. Biometric and Attendance Data

Some features of the Service (such as facial recognition check-in) process biometric data or facial photographs for identity verification and fraud prevention on the shop floor. Customer acknowledges and agrees that it is Customer's sole responsibility to:

  • Obtain all necessary consents and authorizations from employees and contract workers prior to collecting and processing their biometric data.
  • Provide workers with legally sufficient notices regarding data collection, storage duration, and deletion processes.
  • Comply with all applicable local, state, and federal laws, regulations, and guidelines concerning biometric privacy.

7. Prohibited Conduct

Customers and authorized users shall not:

  • License, sub-license, sell, resell, transfer, or commercially exploit the Service to third parties.
  • Modify, disassemble, decompile, or reverse engineer any part of the software platform.
  • Use the Service to store or transmit infringing, libelous, or otherwise unlawful material.
  • Attempt to gain unauthorized access to the Service or its related networks or systems.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall WikiWorks or its affiliates, officers, employees, or licensors be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, use, or data.

Our aggregate liability for all claims arising out of or relating to these Terms or the use of the Service shall not exceed the total subscription fees paid by Customer in the twelve (12) months preceding the event giving rise to the claim.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware for North American operations, and the laws of India for operations in Asia-Pacific, without regard to conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by binding arbitration in accordance with the commercial arbitration rules then in effect. The venue for arbitration shall be Wilmington, Delaware (for US contracts) or Bengaluru, Karnataka (for India contracts).
